Terms of Service

Effective date: [DATE] — Last updated: [DATE]

The short version: Ora is a paid AI coaching app. You own your data. We provide the service as-is. Ora is not a therapist, doctor, or financial adviser. You can cancel anytime through Apple. Be a good human when using the app.

1. Agreement

These Terms of Service ("Terms") are a legal agreement between you and [YOUR COMPANY NAME] ("we", "us", "our"), governing your use of the Ora mobile application ("Ora" or "the app"). By creating an account or using Ora, you agree to these Terms. If you do not agree, do not use the app.

These Terms are in addition to Apple's standard Licensed Application End User Licence Agreement (EULA), which also applies to your use of Ora. In the event of a conflict between these Terms and Apple's EULA, these Terms will take precedence to the extent permitted.

2. What Ora Is

Ora is a personal coaching app that uses artificial intelligence to help you set intentions, plan your day, and reflect on your progress across three areas of life: Mind (work and focus), Body (health and fitness), and Soul (relationships and personal growth). Ora checks in with you at scheduled times throughout the day via a conversational chat interface.

Ora's responses are generated by an AI language model. While we design Ora to be helpful, supportive, and thoughtful, the responses are generated by a machine and should be treated as suggestions, not instructions.

3. What Ora Is Not

This is important. Please read this section carefully.

Ora is not any of the following:

You acknowledge that you use Ora's suggestions at your own discretion and risk. We are not liable for any decisions you make or actions you take based on Ora's responses.

4. Eligibility

You must be at least 13 years old to create an account and use Ora. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you must have the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

By creating an account, you represent that you meet these age requirements and that the information you provide during registration is accurate.

5. Your Account

You are responsible for maintaining the security of your account. This includes:

You may only create one account. We reserve the right to suspend or terminate accounts that we reasonably believe are duplicates or created for abusive purposes.

6. Subscription and Payment

Subscription plans

Ora is a paid subscription service. We offer the following plans:

Current pricing is displayed on the subscription screen within the app and on the App Store. Prices may vary by region and are shown in your local currency.

Free trial

We may offer a free trial period for certain plans. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription and you will be charged the applicable subscription fee. You will only receive one free trial per Apple ID.

Billing

All payments are processed by Apple through the App Store. We do not collect or store your payment information. By subscribing, you authorise Apple to charge your Apple ID account at the beginning of each billing period. Subscriptions automatically renew unless you cancel at least 24 hours before the end of the current billing period.

Cancellation

You can cancel your subscription at any time through your iPhone's Settings → [Your Name] → Subscriptions, or through the Manage Subscription option in Ora's Settings. Upon cancellation:

Price changes

We may change subscription pricing from time to time. If we increase the price of your plan, Apple will notify you in advance and you will have the option to accept the new price or cancel your subscription before it renews at the higher rate. Price increases will not apply to your current billing period.

Refunds

Since all payments are processed by Apple, refund requests are handled through Apple's refund process. You can request a refund at reportaproblem.apple.com. We do not have the ability to issue refunds directly.

7. Acceptable Use

You agree to use Ora for its intended purpose: personal productivity, health awareness, and self-reflection. You agree not to:

We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms, with or without prior notice depending on the severity of the violation.

8. Your Data and Content

You own your data

All content you create within Ora — your conversations, intentions, goals, and reflections — belongs to you. We do not claim any ownership over your content. Your data is stored in your private iCloud account through Apple's CloudKit service.

Licence you grant us

By using Ora, you grant us a limited, non-exclusive licence to process your conversation content solely for the purpose of generating AI responses during active chat sessions. This means sending your messages to our AI provider (Anthropic) to produce Ora's replies. This licence exists only for the duration of each active conversation and does not extend to storing, selling, or using your content for any other purpose.

Data deletion

You may request deletion of your account and all associated data at any time by contacting privacy@ora-app.com. We will process deletion requests within 30 days. For details on what data we hold and where, please see our Privacy Policy.

9. AI-Generated Content

Ora's responses are generated by artificial intelligence (currently powered by Anthropic's Claude language model). You should be aware that:

10. Intellectual Property

The Ora app, including its design, code, branding, icons, and system prompts, is owned by [YOUR COMPANY NAME] and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the app without our written permission.

"Ora" and the Ora logo are trademarks of [YOUR COMPANY NAME]. You may not use our trademarks without our prior written consent.

Content you create within the app (your messages, intentions, and goals) remains yours as described in Section 8.

11. Third-Party Services

Ora relies on third-party services to operate. These include Apple (iCloud, App Store, StoreKit), Anthropic (AI language model), Amazon Web Services (email and SMS delivery), Cloudflare (server hosting), and TelemetryDeck (anonymous analytics). Each of these services has its own terms and privacy policies. We are not responsible for the availability, performance, or practices of third-party services.

If a third-party service experiences an outage or disruption, parts of Ora (particularly chat functionality) may be temporarily unavailable. We will make reasonable efforts to restore service but do not guarantee uninterrupted availability.

12. Availability and Changes

We strive to keep Ora available and working well, but we do not guarantee uninterrupted or error-free service. We may:

If we make material changes that significantly reduce the functionality you're paying for, we will give you reasonable notice and you may cancel your subscription.

If we decide to discontinue Ora entirely, we will provide at least 30 days' notice and will not charge you for any period after the service ends.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In those jurisdictions, our liability is limited to the fullest extent permitted by law.

14. Indemnification

You agree to indemnify and hold harmless [YOUR COMPANY NAME], its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

15. Termination

You may stop using Ora and cancel your subscription at any time.

We may suspend or terminate your account if:

If we terminate your account for a violation, you will not be entitled to a refund for the remaining subscription period. If we terminate your account for reasons not related to your conduct (for example, if we discontinue the service), we will provide a pro-rated refund for any unused prepaid subscription period.

Upon termination, your right to use Ora ends immediately. Your data remains in your iCloud account and is not affected by termination of your Ora subscription.

16. Dispute Resolution

We hope to resolve any issues informally. If you have a concern, please contact us at support@ora-app.com and we will make a good-faith effort to resolve it.

If we cannot resolve a dispute informally, you and [YOUR COMPANY NAME] agree that any legal proceedings will be conducted in the courts of [YOUR JURISDICTION], and you consent to the jurisdiction of those courts. These Terms are governed by and construed in accordance with the laws of [YOUR JURISDICTION], without regard to conflict of law principles.

Nothing in this section limits your right to bring claims in any jurisdiction where such limitation is not permitted by law, including claims under consumer protection legislation in your country of residence.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the app or by email at least 14 days before the changes take effect. Your continued use of Ora after the effective date constitutes acceptance of the revised Terms.

If you do not agree with the revised Terms, you may cancel your subscription and stop using Ora before the changes take effect. We will not reduce your rights under these Terms without your explicit consent.

The "Last updated" date at the top of this page indicates when these Terms were most recently revised. We encourage you to review them periodically.
